1. General Provisions and Contractual Framework

These Terms of Service ("Terms," "Agreement," or "Contract") constitute the legally binding contractual framework governing all professional services, digital platform utilization, and commercial relationships established between Ing. Michal Jenča - Biware ("Service Provider," "Company," "we," "our," or "us"), a Slovak Republic business entity duly registered under Business Registration Number (IČO) 47 449 985, maintaining its principal registered business address at Werferova 6, Košice - Juh, 040 11, Slovak Republic, and any individual, corporation, partnership, or legal entity engaging our professional services ("Client," "Customer," "you," or "your").

3. Payment Terms and Pricing

3.1 Pricing Structure

Service pricing is determined based on project complexity, time requirements, and resource allocation. We offer both fixed-price agreements and time-and-materials contracts depending on project scope.

3.2 Payment Conditions

  • Invoices are payable within 30 days of issue date
  • All prices include Slovak VAT (DPH) where applicable
  • Late payment interest may apply per Slovak Commercial Code
  • Payment methods include bank transfer and approved payment systems

4. Client Obligations

Clients agree to:

  • Provide timely access to systems and necessary information
  • Maintain current backups of critical data
  • Comply with security protocols and procedures
  • Ensure proper licensing for software and systems
  • Implement recommended security measures promptly

5. Limitation of Liability

To the maximum extent permitted by Slovak law, our total liability is limited to the amount paid for services. We warrant professional service delivery according to industry standards but do not guarantee uninterrupted system operation or complete prevention of security incidents.

6. Governing Law and Dispute Resolution

These Terms are governed by Slovak law and EU regulations. Any disputes will be resolved in Slovak courts with jurisdiction in Košice. Before litigation, parties agree to attempt resolution through direct negotiation and mediation.
